European Super Angels Club (ESAC) is an initiative of Venionaire Capital and KPMG Austria Partners. We are a pan-European investment club for business angels, high-net-worth individuals, family offices and corporates venture capital units. Our members combine their individual financial strength, network and know-how to invest in high-growth European startups in rounds of €1-10m.

 

  1. 1) General Information

Investments are made via a fund vehicle, the EXF Alpha SCS Fund, please see details in Section 3 below.

Investments can be made by a qualified investor, this can be an individual or a legal entity that has completed the KYC process.

Investments are made online by signing an Ascension Agreement with a qualified electronic signature.

The minimum investment by law in the fund for a qualified investor is €125,000. This can be spread over several investments.

 

2)  KYC

Any investor has to be KYC approved in order to access the Investment deals and make investments. This process will take about 5 Minutes for Natural Persons and 10-15 Minutes for Legal Entities.

You will need the following information ready:

–             CRS and FATCA classifications

–             Investment experience of second authorised signatory (if applicable)

 

3) EXF Alpha SCS Fund

The EXF Alpha SCS Fund is an exclusive syndication fund of the European Super Angels Club. The European Super Angels Club (ESAC) is a co-investment scheme for super angels (high net worth individuals), family offices, VCs and corporates.

EXF Alpha S.C.S. is incorporated in the legal form of a S.C.S. (Société en commandite simple) in Luxembourg.

The investment criteria are:

  • Company Stage: Seed to Series D
  • Region: Europe. Up to 10% outside Europe
  • Ticket Size: €500k – 1m

Fund terms are:

  • 70% direct exposure to selected syndicated investments / 30% participation in general fund performance
  • Management fee 2% p.a. and performance fee 20% with a hurdle rate of 6%
